Welcome to Binder ("Binder," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Binder website, applications, and related services (collectively, the "Service").

By accessing or using Binder, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Eligibility

You must be at least 13 years old to use Binder. If you are under the age of majority in your jurisdiction, you represent that you have permission from a parent or legal guardian.

You may not use Binder if you are prohibited from using the Service under applicable laws.

2. Description of the Service

Binder is an artificial intelligence-powered platform that enables users to collect, organize, summarize, analyze, and interact with information from websites, documents, articles, notes, and other sources.

Features of the Service may change, be modified, suspended, or discontinued at any time.

3. User Accounts

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate and complete information.
  • Maintain the security of your account credentials.
  • Notify us immediately of unauthorized access to your account.

You are solely responsible for all activities occurring under your account.

4. User Content

"User Content" includes any information, files, documents, notes, articles, prompts, messages, or other content that you upload, submit, import, or create through Binder.

You retain all ownership rights in your User Content.

By using Binder, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display User Content solely for:

  • Operating the Service;
  • Providing AI functionality;
  • Maintaining backups;
  • Improving security and reliability;
  • Complying with legal obligations.

This license ends when your content is deleted from our systems, except where retention is required by law or for backup recovery purposes.

5. Imported Third-Party Content

Binder may allow users to import information from websites, articles, RSS feeds, documents, or other third-party sources.

Users are solely responsible for ensuring that they have the necessary rights or permissions to import, store, process, or use such content.

Binder does not claim ownership of third-party content and acts solely as a processing and organizational tool.

6. Artificial Intelligence Features

Binder uses artificial intelligence technologies to provide summaries, insights, recommendations, and other outputs.

AI-generated outputs:

  • May contain inaccuracies or omissions;
  • May not reflect current information;
  • Should not be relied upon as professional, legal, financial, medical, or investment advice.

You are responsible for independently verifying any information generated by the Service.

Binder makes no representations or warranties regarding the accuracy or reliability of AI-generated content.

7. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation;
  • Use Binder to engage in fraud or illegal activities;
  • Upload malware, viruses, or malicious code;
  • Attempt unauthorized access to the Service;
  • Interfere with the operation of Binder;
  • Use Binder to infringe intellectual property rights;
  • Generate spam, phishing materials, or deceptive content;
  • Reverse engineer or attempt to extract source code from Binder;
  • Use automated systems to abuse or overload the Service.

We reserve the right to investigate and take action against violations of these Terms.

8. Intellectual Property

The Binder platform, including software, branding, logos, designs, and underlying technology, is owned by Binder and its licensors and is protected by intellectual property laws.

Except as expressly permitted, no part of the Service may be copied, modified, distributed, sold, or exploited without prior written consent.

9. Subscription Services

Certain features may require payment.

By purchasing a subscription, you agree that:

  • Fees will be charged according to the selected billing plan.
  • Subscriptions may automatically renew unless canceled.
  • Prices may change upon reasonable notice.
  • Payments are non-refundable except where required by law.

You may cancel your subscription at any time, but cancellation does not entitle you to refunds for previously billed periods.

10. Termination

We may suspend or terminate your access to Binder at any time if:

  • You violate these Terms;
  • Your use presents security or legal risks;
  • We are required by law.

You may terminate your account at any time by deleting your account or discontinuing use of the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINDER AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • LOSS OF PROFITS;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO BINDER DURING THE PREVIOUS TWELVE MONTHS; OR
  2. ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Binder and its affiliates from any claims, damages, liabilities, and expenses arising from:

  • Your use of the Service;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any third-party rights.

14. Changes to the Service

We may modify, suspend, or discontinue any portion of Binder at any time without liability.

15. Changes to These Terms

We may update these Terms periodically. Continued use of Binder after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflict of law principles.
